VT5 enters into Business Combination Agreement with R&S Group

VT5 and R&S Group, a leading provider of electrical infrastructure components in Switzerland and international markets, reached an agreement to combine their businesses at a purchase price of CHF 274 million and thereby take R&S Group public in Switzerland.

VT5 Acquisition Company AG (“VT5”), the SIX-listed Swiss SPAC, has signed a binding Business Combination Agreement with the shareholders of R&S International Holding AG ("R&S Group"), pursuant to which VT5 will acquire all of the outstanding registered shares of R&S Group and transform the company into a publicly listed entity. The Business Combination Agreement is the result of a comprehensive search for a potential business combination partner, during which VT5 has evaluated a significant number of potential targets. R&S came out as the most compelling opportunity for investors and the respective combination companies. Moreover, in the view of the VT5 board, all of the investment principles defined at the IPO of VT5 are met or exceeded with the integration of R&S Group, presenting an exciting growth case fueled by the global need for electrification and megatrends such as decarbonization, decentralization and modernization of the grid. R&S Group is a high-growth, profitable company with a net cash position.

VT5 will propose the business combination with R&S Group at a purchase price of CHF 274 million to a special meeting of the holders of its Class A shares for approval by a simple majority of the votes cast (plus 1,764,706 votes). In connection with this business combination, VT5 plans a capital increase by means of an offering to fund the amount of the purchase price not covered by the amount in escrow. The issue price is expected to be set from CHF 10.00 to CHF 10.50 per share. The publication of a prospectus and further details about the transaction are expected to be announced on 8 November 2023.

VT5 aims to complete the transaction by mid-December 2023. Further announcements will be made in accordance with applicable ad hoc publication procedures.
